Master Services Agreement (MSA)

This Master Services Agreement ("Agreement") governs the terms under which CoftTech provides AI automation services, chatbot integrations, and workflow solutions to its clients.

1. Scope of Services

  • CoftTech will provide services such as chatbot deployment, workflow automation, social media management, and custom AI integrations based on the agreed scope of work.
  • Each project may be defined further in a Statement of Work (SOW) or written agreement between CoftTech and the Client.

2. Client Responsibilities

  • Provide timely access to necessary platforms, credentials, and documentation.
  • Maintain proper authorization for social media or CRM integrations initiated by CoftTech.
  • Abide by terms of service for third-party platforms used within automation workflows.

3. Payment Terms

  • Fees and payment schedules will be defined per project or via recurring invoices.
  • At CoftTech, we strive to build lasting relationships based on trust and performance. If at any point a client believes that our deliverables are not meeting the agreed-upon expectations despite reasonable efforts and communication, we are committed to discussing a fair resolution. In such cases, CoftTech may refund the client for undelivered or unsatisfactory services at its sole discretion. Similarly, if a service is terminated mutually, CoftTech will not demand payment for work not performed. This assurance, however, is not intended to allow abuse of our refund policy and shall be subject to good-faith review of the scope, timeline, and work already completed.

4. Intellectual Property

Unless otherwise specified in a separate written agreement, all intellectual property — including scripts, automation workflows, bots, and other software — developed by CoftTech remains the sole property of CoftTech. However, when a client engages CoftTech to develop a fully customized solution exclusively for their organization and compensates CoftTech for this work, the ownership of that customized solution (including workflows and automation logic) shall transfer to the client upon full payment, unless explicitly agreed otherwise. Clients always retain full ownership of the data, assets, or content they provide. CoftTech reserves the right to reuse non-client-specific components (such as generic workflow templates or internal utilities) in other client engagements.

5. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information received during the course of the engagement, and not to disclose or use such information except as necessary to fulfill the project objectives.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Pakistan. Disputes shall be subject to the jurisdiction of courts in Islamabad.
